What is different about non-profit boards, if anything? What are the trends affecting nonprofit boards? Is SOX infiltrating the nonprofit sector? What is the appropriate role of the States in regulating non-profits, and what areas should the government leave alone? What is the impact of tightening governance concepts in the profit sector on the way in which nonprofit boards operate? To whom is the nonprofit board responsible in the absence of stockholders?

What should the nonprofit audit committee expect from the accountants and from management? Are audit and compensation committees active enough in the genteel world of nonprofits? Are directors whose interests revolve around the public or charitable mission becoming anachronistic, or is there a role for the service-minded non-professional director? What about directors who are there to provide prestige, preserve history or spur donations?

As director performance standards improve, new expectations are finding their way into nonprofit board rooms, creating tensions within boards and between boards and management. Two experienced directors, and Massachusetts' Assistant Attorney General in charge of regulating nonprofits, debate how nonprofit governance is evolving, and what flash-points directors should heed.
