This seminar will be an interactive program including roundtable discussions with experienced Nominating and Governance Committee board members, governance experts, and participants. Sitting members of Nominating and Governance committees are encouraged to attend. The program will focus on current critical issues for Boards in the nominating and governance area and provide real-world experience and real-time solutions to today's nominating and governance challenges.
Holly J. Gregory will discuss the changing role of the Nominating and Governance committee adding focus to its role in governance, current best practices in governance, and the influential role of the Governance and Nominating Committee in improving Board performance. Holly is a partner at Weil, Gotshal & Manges LLP in New York and has served as a member of NACD's Blue Ribbon Commission on "The Governance Committee: Driving Board Performance"
The program will launch into an interactive case discussion focusing on some of the common problems faced by these committees, including Director/Board chair independence, term/age limits, conflict of interest issues, founders' influence, and committee roles.
Lastly, the program will finish with a moderated discussion session among the panelists and the participants covering topics of board succession planning, board self evaluation and the controversial topic of governance rating agencies.
